Terms of Use
Last updated: 15 October 2026
These terms govern your use of the Purchasing Portal (app.purchasingportal.co.uk) and any related services provided by Dispatch Ltd trading as Parallel Purchasing.
By accessing or using the Purchasing Portal, you agree to be bound by these terms. If you do not agree, you must not use the service.
1. Who we are
The Purchasing Portal is operated by Dispatch Ltd, a private limited company registered in England and Wales.
- Company number: 12639946
- Registered office: 11 Station Road, Balsall Common, Coventry CV7 7FN
- Contact: matt@parallelpurchasing.co.uk
In these terms, "we", "us", and "our" refer to Dispatch Ltd. "You" and "your" refer to the individual or organisation using the service.
2. The service
The Purchasing Portal is a software-as-a-service procurement platform. Depending on your account type, it may include:
- Upload and AI-assisted analysis of supplier invoices
- Aggregated spend reporting
- Support for supplier tenders, including quote comparison
- Integration with accounting systems (such as Xero)
- Rebate and savings tracking
- Invoice price compliance monitoring
The specific features available to you depend on the account type and any commercial agreement in place between us. The Purchasing Portal is offered alongside Parallel Purchasing's procurement consultancy services; some clients use both, and some use either independently.
3. Eligibility and account use
The Purchasing Portal is provided for business use only. By creating an account, you confirm that:
- You are using the service on behalf of a business or organisation, not as a consumer
- You are authorised to bind that organisation to these terms
- The information you provide on registration is accurate and current
- You will keep your account credentials confidential and not share them
- You will notify us promptly if you believe your account has been accessed without authorisation
You are responsible for all activity on your account.
4. Commercial terms
Where you access the Purchasing Portal under a commercial arrangement with us, the commercial terms (subscription fees, savings rebates, term, termination, and similar matters) are set out in a separate Services Agreement between us. In the event of any conflict between these Terms of Use and a Services Agreement signed by both parties, the Services Agreement prevails in respect of the subject matter covered by it.
If you use the Purchasing Portal without a signed Services Agreement (for example, in a trial or evaluation capacity), the service is provided to you on an as-is basis and may be withdrawn at any time.
5. Acceptable use
You must not:
- Use the service for any unlawful purpose
- Upload content you do not have the right to upload
- Attempt to gain unauthorised access to any part of the service, other users' accounts, or our infrastructure
- Reverse engineer, decompile, or attempt to derive source code from the service
- Use the service to send spam, malware, or other harmful content
- Interfere with or disrupt the operation of the service
- Resell, redistribute, or sublicense the service without our written agreement
We may suspend or terminate accounts that breach these rules.
6. Your data and content
You retain ownership of all data and content you upload to the Purchasing Portal, including invoices, supplier records, and tender documents ("Your Data").
You grant us a non-exclusive licence to process Your Data solely for the purpose of providing the service to you, and to record your suppliers' business details in our supplier directory as described in our Privacy Policy. We act as a data processor for Your Data as described in our Privacy Policy.
We will not combine Your Data with other customers' data for benchmarking or any other purpose, even in anonymised form, without your separate written consent.
You are responsible for ensuring that Your Data complies with applicable laws, including data protection law, and that you have the right to provide it to us.
7. Intellectual property
The Purchasing Portal, its software, design, content, and trademarks (including the "Purchasing Portal" and "Parallel Purchasing" brands) are owned by Dispatch Ltd or our licensors. We grant you a non-exclusive, non-transferable, revocable licence to use the service for your internal business purposes during the term of your access.
Nothing in these terms transfers ownership of any of our intellectual property to you.
8. Third-party services
The Purchasing Portal integrates with third-party services such as Xero and (in future) QuickBooks Online and Sage. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability or behaviour of third-party services, and you are responsible for ensuring you have valid access to any third-party account you connect to the Purchasing Portal.
9. AI-assisted features
The Purchasing Portal uses third-party artificial intelligence services (currently Anthropic's Claude models, through Anthropic's commercial API) to extract information from invoices, classify suppliers, and produce summaries. Under Anthropic's commercial terms, the data we send is not used to train its models. AI outputs may contain errors. We design the service to surface AI uncertainty (confidence flags, review screens) and to require human review before AI outputs affect commercial decisions.
You are responsible for reviewing AI-extracted data before acting on it. We are not liable for losses caused by uncorrected AI extraction errors that a reasonable review would have caught.
10. Availability
We aim to keep the Purchasing Portal available during normal business hours and on a best-efforts basis outside them. The service may be temporarily unavailable for maintenance, updates, or due to factors outside our control. We do not commit to a specific uptime percentage in these Terms of Use; any service-level commitment is set out in a separate Services Agreement.
11. Warranties and disclaimers
To the maximum extent permitted by law, the Purchasing Portal is provided "as is" and we exclude all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in these terms excludes or limits our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded by law
12. Limitation of liability
Subject to section 11, our total liability to you in respect of all claims arising out of or in connection with the Purchasing Portal in any 12-month period is limited to the greater of (a) £1,000 or (b) the fees paid by you to us for the service in that 12-month period.
We are not liable for indirect or consequential losses, loss of profits, loss of business, loss of goodwill, or loss of data (provided we have taken reasonable steps to safeguard data as described in our Privacy Policy).
13. Suspension and termination
We may suspend or terminate your access:
- Immediately if you materially breach these terms and do not remedy the breach within 14 days of written notice
- On 30 days' notice for any reason, in which case we will allow you to export Your Data before access ends
- Immediately if required by law or to protect the security or integrity of the service or other users
You may stop using the service at any time. Where you have a Services Agreement with us, termination of that agreement is governed by its own terms.
On termination, your right to access the service ends. We will retain or delete Your Data in line with our Privacy Policy.
14. Changes to these terms
We may update these terms from time to time. The "last updated" date at the top shows the most recent revision. Material changes will be notified by email to registered users at least 30 days before they take effect. Continued use of the service after a change takes effect constitutes acceptance of the updated terms.
15. Governing law and jurisdiction
These terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
